Original Proposal Text
Terra Governance is asked to: 1. Recognize the persistent Stewardship dysfunction surrounding Proposal A272 and the inability to resolve the underlying disputes internally as an Adverse Event under the Phoenix Foundation Bylaws. 2. Appoint Martin (TG: @EmmenQc) as Emergency Supervisor under Article 2.6.1. 3. Instruct the Emergency Supervisor to independently investigate the Adverse Event, hear all four Directors, review relevant internal records, examine the conduct of any Director where relevant, and determine appropriate remedies. 4. Confirm the applicable powers under Article 2.4.5.4, including instructing Stewardship Multisig Members to facilitate removal where necessary or desirable to resolve the Adverse Event, subject to the Bylaws. 5. Limit the appointment to a maximum of four weeks from written acceptance, which must include a declaration of independence. Any extension requires explicit approval by Terra Governance. 6. Approve compensation of up to USD 10,000 under Article 2.6.6. The Emergency Supervisor must act independently and impartially. This proposal does not predetermine findings, assign liability, or directly remove any Director. All actions remain subject to the powers and limitations established by the Bylaws.
